Corporate Lawyer

On behalf of our client, a successful holding group, we are looking for a Corporate Lawyer, to be based at their premises in Limassol, Cyprus.

Main Duties and Responsibilities:

1. Corporate:

  • Manages existing group projects by preparing legal documentation for various business operations and jurisdictions (e.g., providing financing, distributing dividends, etc.).
  • Provides legal support for launching new projects and M&A transactions by drafting, reviewing, and arranging the execution of agreements and legal documents, including memorandums of understanding, non-disclosure agreements, share purchase agreements, and shareholders’ agreements.
  • Handles tax and legal structuring, including international corporate tax structuring and personal tax planning; provides legal support for requests from tax authorities.
  • Supports restructuring of shareholding structures, including tax analysis and coordination with third-party tax advisors; prepares corporate documents to meet statutory requirements (e.g., general meetings, board resolutions, financial statement approvals), as well as employment contracts and other legal documentation.
  • Manages migration and labor matters for office employees.
  • Liaises with and instructs external legal counsel, corporate administrators, advisors, auditors, and appraisers across various jurisdictions.
  • Manages and arranges KYC procedures with banks and other institutions by supplying required documents and completing application forms (e.g., CRS/FATCA).
  • Conducts sanctions analysis and provides related legal guidance.
  • Provides legal support in the liquidation of companies previously used as holding entities by preparing necessary legal documents, restructuring assets and liabilities, and coordinating with internal finance teams and external administrators, legal counsel, and liquidators


2. Private:

  • Oversees the purchase, management, and sale of personal real estate and other properties
  • Handles migration matters, including obtaining citizenships and residence permits in various jurisdictions
  • Manages family trust and inheritance matters
  • Opens bank accounts and responds to banking requests and KYC/AML procedures to maintain relationships
  • Addresses and manages other personal assignments as needed
  • Arranges bank financing and refinancing of existing credit facilities
  • Provides legal and organizational support for construction and renovation projects

Job Requirements:

  • Bachelor’s in Law or any related field 
  • Experience working with companies linked to CIS and Eastern European countries is highly valued
  • Strong drafting skills in both Russian and English
  • Knowledge of Greek is considered an advantage, but not a requirement
  • Full-time presence required at the Group’s office in Cyprus
  • Ability to independently handle technical assignments within the specified scope
  • Capability to carry out additional tasks under the supervision and direction of a senior lawyer or office head
  • Excellent communication skills, with a proactive, responsible, and detail-oriented approach.
  • Previous experience in trust companies and/or holding companies will be considered an advantage
