On behalf of our client, a corporate solutions, financial, and real estate investment company, we are looking for a Corporate Lawyer to be based at their offices in Limassol, Cyprus.
Main Duties and Responsibilities:
- Handles real estate due diligence and transaction documents
- Prepares and reviews security packages and Land Registry filings
- Coordinates related approvals and regulatory processes
- Drafts, reviews, and negotiates commercial and corporate documents, including:
- Share Purchase Agreements (SPAs) and Shareholders’ Agreements (SHAs)
- Pledge and Security Agreements
- Service and Trade Agreements
- NDAs, Board Resolutions, and Shareholder Resolutions
- Ancillary transaction documentation
- Manage document execution, notarization, and completion mechanics
- Advises on Company Law matters, corporate governance, and regulatory compliance
- Supports corporate structuring, reorganizations, joint ventures, and other transactions.
- Conducts legal due diligence
- Prepares legal opinions
- Contributes to internal know-how, templates, and client alerts
- Liaises with regulators, counterparties, banks, liquidators, and service providers
- Coordinates with notaries, public authorities, and the Land Registry as required
- Communicates effectively with clients, colleagues, and external counsel
Job Requirements:
- 3+ years of experience in Corporate/Commercial Law
- Bachelor’s in Law from a reputable institution
- Proven experience in contract drafting
- Deep understanding of Cyprus Company Law and Corporate Governance
- Exposure to Property Law is considered an advantage
